Terms of Service for Mantraist

Welcome to Mantraist (“Mantraist,” “we,” “our,” or “us”). Mantraist provides software and related services for freelancers, independent professionals, and clients, including the Mantraist Workspace and the Mantraist Freelancer Network.

By accessing or using Mantraist, creating an account, submitting a Freelancer Network application, or otherwise using our services, you (“you” or “user”) agree to these Terms of Service (“Terms”).

Please read these Terms carefully. If you do not agree with these Terms, you should not use Mantraist or submit an application to the Freelancer Network.

1. Eligibility

You must meet the applicable age and eligibility requirements for the Mantraist service you use.

Participation in the Mantraist Freelancer Network requires you to be at least 18 years old.

By creating an account or submitting a Freelancer Network application, you confirm that the information you provide is accurate and that you have the legal capacity to agree to these Terms.

2. Account Registration and Security

For services that require an account:

  • You are responsible for providing accurate account information.
  • You are responsible for maintaining the security of your account and authentication methods.
  • You are responsible for activity that occurs through your account.
  • You must not use another person's account without permission.
  • If you believe your account has been compromised, you should notify us as soon as reasonably possible.

For the Freelancer Network, submitting an application may require information such as your name, email address, location, services, work references, pricing information, and typical response time.

You are responsible for ensuring that the information you submit is accurate and genuine.

3. Acceptable Use

You agree not to use Mantraist to:

  • Violate applicable laws or regulations.
  • Commit fraud, scams, or deceptive activity.
  • Impersonate another person or organization.
  • Provide false or misleading information.
  • Submit fake, stolen, plagiarized, or unauthorized work.
  • Use another person's account or Freelancer Network profile without permission.
  • Upload malicious code, malware, or harmful content.
  • Send spam or abusive communications.
  • Attempt to hack, disrupt, reverse-engineer, or interfere with Mantraist or its services.
  • Attempt to manipulate, bypass, or abuse the Freelancer Network review process.
  • Use Mantraist for activities that are illegal, harmful, abusive, or otherwise prohibited by these Terms.
  • Submit false, misleading, fraudulent, or intentionally inaccurate project requirements.
  • Use the client requirement form for spam, harassment, impersonation, or unrelated promotional activity.
  • Submit requirements involving unlawful activities or requests that violate applicable laws or regulations.

We may restrict, suspend, or terminate access when we reasonably believe these rules have been violated.

4. Mantraist Workspace

The Mantraist Workspace provides tools that may include task management, project management, client-facing features, AI Agents, and other productivity functionality.

Features may change over time as Mantraist is developed.

4.1 AI Agents

AI Agents may produce suggestions, summaries, classifications, or other generated output.

AI-generated output may contain errors or inaccuracies. You are responsible for reviewing AI output before relying on it for important decisions, communications, or work.

When uploading meeting transcripts, CSV files, or other information to AI features, you confirm that you have the necessary rights and permissions to provide that information for processing.

4.2 Client Portals

Mantraist may allow Workspace users to share project information or progress with clients through Client Portal features.

You are responsible for the accuracy and appropriateness of information you choose to share with clients.

Unless Mantraist explicitly provides a payment service for a particular feature or opportunity, Mantraist does not process or guarantee payments between freelancers and their clients.

5. Mantraist Freelancer Network

The Mantraist Freelancer Network allows freelancers to submit professional profiles for review and may allow suitable approved profiles to be considered or connected with potential client opportunities.

Submitting an application does not guarantee acceptance into the network, a client, a project, income, or any particular number of opportunities.

5.1 Freelancer Information

Freelancers may be asked to provide information including:

  • Name
  • Email address
  • Location or region
  • Primary service
  • Specialty
  • Work references
  • Portfolio links
  • Pricing information
  • Typical response time
  • Other information reasonably required to review the profile

You are responsible for ensuring that this information is accurate and current.

5.2 Work References

Work references submitted to the Freelancer Network must represent your own work or work that you are authorized to present.

You must not submit:

  • Someone else's work as your own.
  • Stolen work.
  • Plagiarized work.
  • Fake projects.
  • Fake testimonials.
  • Misleading credentials.
  • Misrepresented client experience.
  • Other work or information intended to deceive the review process.

If work was completed as part of a team, you should accurately represent your role.

5.3 Profile Review

Mantraist may review submitted information and work references to determine whether a profile meets the current requirements of the Freelancer Network.

A profile may be:

Pending

The application has been received and is waiting for review.

Under Review

The profile is being evaluated.

Approved

The profile meets the current network requirements and may be considered for suitable opportunities.

Rejected

The profile does not currently meet the network requirements.

Mantraist may request clarification or additional information during the review process.

5.4 Approval

Approval means that the submitted profile has passed the current Mantraist Freelancer Network review.

Approval does not mean that:

  • Mantraist guarantees a client.
  • Mantraist guarantees a project.
  • Mantraist guarantees income.
  • Mantraist guarantees a particular number of opportunities.
  • A client is required to hire the freelancer.
  • Every opportunity will be suitable for the freelancer.

Approved profiles may be considered when relevant opportunities arise.

5.5 Network Opportunities

Mantraist may use factors such as service category, skills, work references, availability, response time, location, and project requirements when determining whether a freelancer may be relevant to a potential opportunity.

The exact method by which opportunities are presented, introduced, or connected may change as the Freelancer Network develops.

6. Client Requirement Submission

Mantraist provides a client requirement form to collect basic information about a project or service requirement and help identify potentially suitable verified freelancers.

The information submitted through the form is intended for initial freelancer matching only. Clients are not required to provide a complete project specification at this stage.

The budget provided through the form is an initial indication and does not represent a final project price or quotation.

Detailed project scope, deliverables, technical requirements, pricing, milestones, deadlines, revisions, payment arrangements, and other project-specific terms may be discussed and agreed upon between the client and freelancer after they are connected.

Submitting a requirement does not guarantee that a particular freelancer will be available, selected, or introduced, and does not guarantee that a project will be accepted or completed.

Clients are responsible for providing information that is accurate and relevant to their requirement.

7. Freelancer and Client Relationships

Freelancers and clients are responsible for discussing and agreeing on the details of any work they undertake.

Information submitted through the client requirement form is intended only to help facilitate an initial connection between a client and potentially suitable freelancer. The submitted form does not itself establish a final project agreement between the client and freelancer.

This may include:

  • Scope of work.
  • Deliverables.
  • Deadlines.
  • Pricing.
  • Payment arrangements.
  • Revisions.
  • Ownership or licensing of work.
  • Other project-specific requirements.

Unless explicitly stated otherwise for a particular Mantraist service, Mantraist is not automatically a party to the agreement between a freelancer and client.

Mantraist does not guarantee the quality, completion, legality, or outcome of work performed by a freelancer or client.

8. Professional Conduct

Users participating in the Freelancer Network or related work opportunities are expected to communicate professionally and treat one another with respect.

Users should not:

  • Harass or threaten another person.
  • Discriminate against another person.
  • Repeatedly send abusive or unwanted communications.
  • Intentionally mislead another user.
  • Accept work and intentionally disappear without communication.
  • Intentionally submit incomplete or substantially misleading work as completed work.

Freelancers should make a reasonable effort to meet agreed commitments and communicate significant delays or problems.

Clients should provide reasonable project information, communicate important changes, and respect agreed project expectations.

9. Your Content

You retain ownership of the content and information you provide to Mantraist, subject to any rights you grant to us under these Terms.

This may include:

  • Tasks.
  • Notes.
  • Files.
  • Project information.
  • Freelancer profile information.
  • Portfolio links.
  • Work references.
  • Other information you submit.

You grant Mantraist a limited right to store, process, display where applicable, and use your submitted information as reasonably necessary to operate, maintain, review, improve, and provide the relevant Mantraist services.

We do not claim ownership of your personal content merely because you use Mantraist.

10. Intellectual Property

The Mantraist name, logo, branding, software, design, original features, and other materials created by Mantraist are owned by us or our licensors and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, reverse-engineer, or otherwise exploit Mantraist's proprietary materials without appropriate permission.

You retain ownership of your own content, subject to the rights necessary for us to operate the services.

11. Disclaimer of Warranties

Mantraist is provided on an “as is” and “as available” basis to the fullest extent permitted by applicable law.

We do not guarantee that:

  • Mantraist will always be available or uninterrupted.
  • The service will always be error-free.
  • AI-generated output will always be accurate.
  • A Freelancer Network application will be approved.
  • An approved freelancer will receive opportunities.
  • A freelancer will receive a client or income.
  • A client will find a suitable freelancer.
  • Work arranged between users will be completed successfully.
  • Any particular business, productivity, or financial outcome will result from using Mantraist.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Mantraist will not be liable for indirect, incidental, special, consequential, or similar damages arising from or related to your use of the services.

This includes, where legally permitted, losses relating to:

  • Data.
  • Business opportunities.
  • Freelance work.
  • Income.
  • Client relationships.
  • Freelancer relationships.
  • Project outcomes.
  • Reliance on AI-generated output.

Our total liability for any claim will not exceed the amount, if any, you paid to Mantraist for the relevant service during the period permitted by applicable law.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

13. Suspension and Termination

You may stop using Mantraist or delete your account where applicable.

We may suspend, restrict, reject, or terminate access to Mantraist or participation in the Freelancer Network if we reasonably believe that you:

  • Violated these Terms.
  • Provided false or misleading information.
  • Submitted fraudulent or unauthorized work.
  • Misused the service.
  • Engaged in harmful or prohibited activity.
  • Repeatedly violated professional conduct expectations.
  • Created a security, legal, or other significant risk.

We may also take action when necessary to protect users, the service, or the integrity of the Freelancer Network.

14. Changes to the Terms

We may update these Terms from time to time.

When we make significant changes, we may notify users through the service, by email, or through another reasonable method.

The latest version of these Terms will be made available at:

Your continued use of Mantraist after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

15. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles, except where applicable law requires otherwise.
